Thomas E. Snyder has been practicing law for over 35 years in the areas of Commercial Real Estate, Corporations and Business Law, Mergers and Acquisitions, Capital Formations, Finance and Franchising.  As an experienced commercial transactional, corporate and real estate attorney, he regularly gets involved with commercial litigation, determining causes of action and litigation strategies.  Prior to joining Inman & Strickler as a partner, Mr. Snyder practiced law for his entire career with the firm of Williams Mullen and its predecessor, Clark & Stant.  Mr. Snyder focuses on being extremely responsive to his client’s needs and providing superior legal services.  In addition to being named to Best Lawyers in America in business law and to Legal Elite in real estate, Mr. Snyder is recognized as a founding member of the Hampton Roads Commercial Real Estate (HRACRE”) where he previously served as President.

Mr. Snyder earned his undergraduate degree from Northwestern University (B.A. 1972) and his law degree from the University of Richmond (JD 1978) where he served as a member of University of Richmond Law Review.  Among Mr. Snyder’s professional affiliations, he is or has been a member of the Business and Real Estate Sections of the American Bar Association, the Virginia Bar Association, the Virginia Beach Bar Association and the Norfolk-Portsmouth Bar Association.  He is admitted to the Virginia State Bar, the U.S. Court of Appeals for the Fourth Circuit and the U.S. District Court – Eastern District of Virginia.

He currently is serving as the Co-Chairman of the President’s Council of HRACRE, a member of the Board of Directors of HRACRE; he has served as the Secretary and a member of the Board of Directors of Ohef Sholom Temple; and a member of the Virginia Venture Capital Forum; and he was the founder of two charitable golf tournaments.

Mr. Snyder has previously taught continuing legal education courses on IRC §1031 like-kind exchanges; the Private Placement of Securities; the choice of entity issues; family partnerships and limited liability companies; and issues related to franchising.

REPRESENTATIVE MATTERS HANDLED BY MR. SNYDER

He served as the lead counsel of the sale of a road building company, which was a $60 million transaction, and which included multiple real properties and locations, including borrow pits, material distribution facilities, deep water port, multiple asphalt plants with complex contractual, tax and key employee issues.

Mr. Snyder was the general counsel for a syndicator, developer and operator of assisted living facilities, handling all aspects of private placement of securities, preparation of operating agreements with special allocations, real estate acquisition and development issues, licensing issues, finance (including HUD financing), joint venture and disposition of facilities.

He has served as legal counsel to both franchisors and franchisees in a broad range of matters, including structuring of franchise systems and the preparation of franchise agreements and related documents, including Franchise Disclosure Documents (FDD) and state registrations and negotiation of area development and franchise arrangements, and sale of franchised business on behalf of franchisees.

Mr. Snyder has handled the sale or purchase of numerous companies in a wide range of industries, including manufacturing, government contractors and service providers.

As a business lawyer, Mr. Snyder has structured numerous business enterprises, with tax, limitation of liability and administrative considerations based on the industry and business considerations.

As a commercial real estate attorney, Mr. Snyder has handled numerous commercial real estate transactions from apartments, shopping centers, industrial properties and office buildings, including acquisition, disposition, zoning, leasing and tax considerations, including various 1031 like-kind exchange issues.

Mr. Snyder has handled numerous “general corporate” matters, including shareholder agreements, operating agreements of active and investment companies, manufacturer’s sale of product and distribution agreements, including addressing liability and warranty issues; general terms and conditions of selling goods or providing services.

Mr. Snyder has been involved in numerous litigation matters involving real estate tax assessments; real estate title issues; breach of contracts; and disputes among investors/owners of limited liability companies and corporations. 

Finally, Mr. Snyder has been engaged as an expert witness in certain real estate matters.
